END USER LICENSE AGREEMENT (EULA)
This End User License Agreement (EULA) is a legal agreement between you (the “Licensee” or “you”) and SOAK A/S (“Licensor”, “we”, or “us”) for the use of our software extension(s) (“Extension”) to Microsoft Business Central (BC) and any related services or documentation.
1. License Grant
1.1 License: Subject to the terms of this EULA, SOAK A/S grants you a non-exclusive, non-transferable, and limited license to install and use the Extension solely for your internal business operations in connection with your validly licensed copy of Microsoft Business Central.
1.2 Scope of Use: The Extension is licensed, not sold. This license does not grant you any rights to distribute, sublicense, rent, lease, or sell the Extension.
2. Restrictions
2.1 Prohibited Activities: You agree not to:
- Copy, modify, or create derivative works of the Extension, except as expressly permitted by this EULA.
- Decompile, reverse-engineer, disassemble, or otherwise attempt to derive the source code of the Extension.
- Use the Extension to provide services to third parties or as part of a time-sharing arrangement or service bureau.
- Remove or alter any copyright, trademark, or other proprietary notices contained in the Extension.
2.2 Compliance: You agree to comply with all applicable laws and regulations in connection with your use of the Extension.
3. Updates and Support
3.1 Updates: SOAK A/S may, at its discretion, provide updates, upgrades, or modifications to the Extension. Any such updates will be considered part of the Extension and subject to the terms of this EULA.
3.2 Support: Support services for the Extension are available as described in the support agreement or service contract between you and SOAK A/S, if applicable.
4. Ownership and Intellectual Property
4.1 Ownership: The Extension and all intellectual property rights therein, including but not limited to copyrights, trademarks, and patents, are and remain the property of SOAK A/S or its licensors. This EULA does not transfer any ownership rights.
4.2 Feedback: Any suggestions or feedback provided by you to SOAK A/S regarding the Extension shall be deemed non-confidential, and SOAK A/S shall be free to use, disclose, reproduce, license, or otherwise distribute and exploit such feedback without any obligation to you.
5. Fees and Payment
5.1 Fees: In consideration for the license granted under this EULA, you agree to pay SOAK A/S the fees set forth in the applicable order form or agreement.
5.2 Payment Terms: Payment is due according to the terms stated on the invoice or order form. Late payments may be subject to a late fee and/or interest as permitted by law.
6. Term and Termination
6.1 Term: This EULA is effective upon your acceptance or use of the Extension and will remain in effect until terminated.
6.2 Termination: SOAK A/S may terminate this EULA immediately if you breach any term of this EULA. You may terminate this EULA by ceasing all use of the Extension and uninstalling it.
6.3 Effect of Termination: Upon termination, you must immediately cease using the Extension and delete all copies in your possession. Sections 4, 6.3, 7, 8, and 9 will survive termination of this EULA.
7. Limitation of Liability
7.1 No Warranty: The Extension is provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
7.2 Limitation of Liability: To the maximum extent permitted by applicable law, SOAK A/S shall not be liable for any indirect, incidental, consequential, or punitive damages, or loss of profits or revenue, arising from or related to your use of the Extension, even if SOAK A/S has been advised of the possibility of such damages.
8. Indemnification
8.1 Indemnity: You agree to indemnify, defend, and hold harmless SOAK A/S, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Extension or any violation of this EULA.
9. Miscellaneous
9.1 Governing Law: This EULA shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law principles. Any disputes arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of Denmark.
9.2 Severability: If any provision of this EULA is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of this EULA shall remain in full force and effect.
9.3 Entire Agreement: This EULA constitutes the entire agreement between you and SOAK A/S regarding the use of the Extension and supersedes all prior or contemporaneous understandings or agreements.
